Land Acquisition in Ghana: Key Legal Steps Every Buyer Must Take Before Purchasing Property

Purchasing property in Ghana is a significant financial commitment that requires careful planning and informed decision-making. Whether the purpose is residential, developmental, commercial investment, agricultural use, or long-term wealth creation, acquiring land involves more than negotiating a price and signing documents. Ghana’s land sector continues to face challenges such as multiple sales, fraudulent transactions, boundary disputes, land guardism, and protracted litigation. These realities make it essential for prospective buyers to undertake thorough due diligence before completing any transaction. Due diligence refers to the process of conducting independent investigations and assessments to identify legal and practical risks associated with a proposed land transaction. Through this process, buyers are able to verify ownership, examine title documents, investigate the history of the land, confirm boundaries, and uncover any disputes or restrictions that may affect their interests. By taking the appropriate legal and practical steps, purchasers can minimise risks, protect their investments, and secure interests capable of registration and peaceful enjoyment. Step 1: Confirm the Nature of the Land The first step before purchasing any property is to determine the nature of the land and the legal framework governing it. Under Ghanaian law, land generally falls into four categories: stool or skin lands, family lands, state lands, and private lands. Each category is subject to different ownership structures and requirements relating to consent and transfer. Failure to correctly identify the type of land involved may result in non-compliance with applicable legal requirements and could ultimately undermine the validity of the transaction. Understanding the character of the land therefore provides the foundation for every other aspect of the due diligence process. Step 2: Verify the Seller’s Authority to Sell Once the nature of the land has been established, it is important to confirm that the person offering the land for sale has the legal authority to transfer it. Mere occupation or possession of land does not automatically confer ownership or the right to dispose of it. Prospective purchasers must therefore determine whether the seller is the rightful owner or has the requisite authority to act on behalf of those entitled to the land. For family lands, the family head and principal members must participate in the transaction. Similarly, transactions involving stool or skin lands require the involvement of the appropriate traditional authorities. Where land is owned by a company, purchasers should verify the company’s legal status and ensure that authorised representatives have been duly empowered to execute the transaction. The importance of establishing valid ownership and authority is reinforced in Banga v Djanie (1989–1990) 2 GLR 510, where the court held  that mere evidence of ancestral occupation is insufficient to establish ownership. The Court held that evidence showing only that an ancestor once lived on the land, without proof of root of title, boundary evidence, grants, possession, or acts of ownership by the claimant’s family, is insufficient to establish a valid claim to land. This decision highlights the importance of requiring clear evidence of ownership before proceeding with any acquisition. Step 3: Conduct Official Searches and Title Verification Prospective buyers should not rely solely on documents presented by sellers. Independent verification through official institutions remains one of the most effective safeguards against fraudulent transactions. An official search at the Lands Commission can reveal the identity of the registered owner, the status of the title, the size and location of the property, and whether there are any encumbrances affecting the land, such as mortgages, caveats, government acquisitions, or restrictions on transfer. Depending on the nature of the land, enquiries may also be conducted through the appropriate Customary Land Secretariat to confirm customary interests and approvals. In addition, buyers should verify that site plans and survey information correspond with official records. These investigations help ensure that the land being offered for sale is genuinely available for transfer and that the seller’s representations are accurate. Conducting institutional searches provides an independent basis for evaluating the legitimacy of the transaction and reduces the likelihood of fraud. Step 4: Investigate the Root of Title Due diligence extends beyond identifying the current owner of the land. Buyers must also investigate how the seller acquired the property and whether previous transactions affecting the land were valid. Investigating the root of title involves tracing the ownership history of the land to establish continuity in the transfer of interests over time. This may include reviewing earlier conveyances, leases, grants, court decisions, or other documents demonstrating how ownership has evolved. The objective is to identify any gaps, irregularities, or defects capable of affecting the validity of the seller’s title. This exercise is particularly important because a purchaser generally acquires only the rights that the seller lawfully possesses. Where the seller’s title is defective, the purchaser’s interest may likewise be compromised. Establishing a clear and uninterrupted chain of ownership therefore contributes significantly to the security of the transaction. Step 5: Conduct Survey and Boundary Verification The existence of valid documentation does not necessarily guarantee that the physical land corresponds with its legal description. Boundary disputes remain one of the leading causes of land-related litigation in Ghana, often arising from inaccurate surveys, overlapping site plans, or encroachments. To address these risks, purchasers should engage licensed surveyors to inspect the property and verify its dimensions, coordinates, and boundaries. The surveyor should compare the physical characteristics of the land with official cadastral records and identify any inconsistencies that may affect the transaction. Survey verification ensures that the land being purchased is accurately defined and capable of being distinguished from neighbouring properties. This process provides additional assurance that the purchaser is acquiring the specific parcel intended and reduces the likelihood of future disputes relating to boundaries or competing claims. Step 6: Make Community and Litigation Enquiries Official records do not always capture every dispute affecting a property. In many instances, community members may possess information regarding conflicts that have not yet reached the formal legal system.
